A-One

Scope of Application

These Terms of Service govern all agreements between A-ONE We Are All One, based in Nuremberg, Germany, and its clients regarding creative, digital and consulting services.

Services

Services include in particular content creation, video production and editing, website design and development, brand consulting and digital strategy services.

The specific scope of services will be defined individually in written agreements or project proposals.

Conclusion of Contract

A contract is concluded once a written offer is accepted by the client via email or other written communication.

Prices and Payment

All prices are net prices unless otherwise stated.

Invoices are payable within 7 days of issue.

In case of late payment, statutory default interest will be charged in accordance with §288 BGB.
For business clients, default interest of nine percentage points above the base interest rate plus a lump sum of EUR 40 may be charged.
For private clients, default interest of five percentage points above the base interest rate applies.

Client Obligations

The client agrees to provide all necessary content, materials and information required for project execution in a timely manner.

Travel and On-Site Costs

All travel, accommodation and related expenses incurred for on-site services shall be borne by the client unless otherwise agreed in writing.

Delivery and Revisions

Deadlines are binding only if confirmed in writing.
Revisions are limited to the scope defined in the project agreement.

Liability for Equipment

The client shall be liable for any damage to equipment used during on-site production insofar as such damage occurs within the client’s sphere of influence, including through negligence or the involvement of third parties.

Rights of Use

Usage rights are granted only after full payment of the agreed remuneration.
All copyrights remain with A-ONE Digital Services unless otherwise agreed in writing.

Attribution and Self-Promotion Rights

The provider is entitled to reference and subtly credit its contribution in the delivered content for self-promotional purposes.

This may include, but is not limited to, discreet mentions such as hashtags, short text overlays in videos, or references on social media, provided such attribution does not unreasonably interfere with the client’s brand appearance.

The client may object to such attribution only for justified reasons and must notify the provider in writing prior to project delivery.

Liability

Liability is limited to intent and gross negligence.
No liability is assumed for lost profits or indirect damages.

No Guarantee of Success

No guarantee is given for specific economic success, reach, performance metrics or marketing results.

Third Party Content

The provider assumes no liability for materials or content supplied by the client.

Confidentiality

Both parties agree to treat all non-public information confidentially.

Termination

Ongoing services may be terminated with 30 days notice to the end of the month unless otherwise agreed.

If a project is cancelled after commencement, the full agreed fee shall remain payable.

Ethical Standards and Right of Refusal

The provider reserves the right to refuse or terminate any collaboration if the requested content, project purpose or client behavior violates ethical standards, promotes discrimination, extremism, hate speech, illegal activities or otherwise conflicts with the provider’s values.

In such cases, the provider may terminate the agreement with immediate effect. Compensation shall be limited to the services already rendered up to the time of termination.

Governing Law

German law shall apply.
Place of jurisdiction is Nuremberg, Germany.

Final Provisions

Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.

These Terms of Service may be amended at any time in order to reflect changes in legal requirements, services or business operations. The version published on this website at the time of contract conclusion shall be legally binding.
